A Trade Secret is confidential business information that derives independent economic value from not being generally known and is subject to reasonable efforts to maintain secrecy (e.g., access controls and NDAs). In startup value and M&A diligence, Trade Secret protection can be as important as patents, and Trade Secret status can be lost if confidentiality measures are not consistently applied.
