Yes, you can likely assign prior IP to purchase stock.  The type of consideration you can use to purchase stock is found in each states&#039; corporations code.  Most states allow this (Delaware, California).  
 
It sounds like your transaction will likely be tax-free via Section 351 of the Internal Revenue Code.  But of course, please seek the advice of counsel on this one (and all other matters). </description>
