Certificate of Incumbency

A certificate of incumbency is a formal document—usually signed by a company’s secretary or another authorized officer—that certifies who the company’s current officers and/or directors are, and often confirms their authority to sign specific agreements on the company’s behalf.
It commonly includes the names and titles of the incumbents, and may attach or reference related items like board resolutions and signature specimens.
