Freeze Out

A Freeze Out occurs when the majority shareholders of a company force the minority shareholders to sell their shares, or otherwise render the minority shareholders voting rights useless. Freeze Outs are most problematic in situations where the minority shareholders cannot sell their shares on the open market and are forced to sell at a reduced price.
