A Key Employee is an individual whose skills, relationships, or leadership are considered critical to a company’s performance, product development, or customer retention. In diligence and risk assessment, Key Employee dependency is evaluated through retention plans, equity incentives, and succession planning, and losing a Key Employee can materially affect valuation or integration plans.
