Most Favored Nation Clause

A Most Favored Nation Clause (MFN) is a provision that entitles a party to receive terms no less favorable than those granted to others, either automatically or upon election, depending on drafting. In startup financings (especially SAFEs/notes) and commercial contracts, a Most Favored Nation Clause protects early participants from being disadvantaged, and a Most Favored Nation Clause can complicate later negotiations if too broad.
