Rolling Close

A rolling close refers to the structure of setting up a financing so that the startup can close on investors on a ‘rolling basis’. Thus, startups will institute a rolling close structure which allows the startup to hold an “initial closing” with one or more investors and then hold “additional closings” with subsequent investors, typically all on the same terms.
