Tender Offer

A Tender Offer is an offer communicated directly to the shareholders to purchase their stock in a corporation in an effort to gain a majority share of the outstanding equity. Tender Offers may or may not have the support of the Board of Directors depending on whether or not it is a hostile takeover. If it is a hostile takeover, the price offered will generally be higher than the market price in order to induce the shareholders to sell.
