Profits Interest

A Profits Interest is an equity interest in an LLC or partnership that entitles the holder to share in future profits and appreciation after a specified threshold (often the current fair market value) but typically does not grant a share of existing capital at grant. In private equity and startup LLC structures, a Profits Interest is used as an incentive tool similar to options, and Profits Interest tax treatment depends on meeting required conditions and holding periods.
