The Holdback Escrow is an escrow arrangement where the holdback amount is deposited with a third-party escrow agent and released according to the escrow agreement’s claim and dispute procedures. In deal execution, a Holdback Escrow provides sellers comfort that funds are set aside and provides buyers a structured mechanism to assert claims against the Holdback Escrow.
