Special Purpose Vehicle

A Special Purpose Vehicle (SPV) is a separate legal entity created for a specific, limited purpose, such as pooling investor capital into one vehicle to invest in a single deal, holding assets, isolating liabilities, or facilitating structured finance. In venture investing, a Special Purpose Vehicle is often used for syndicates and single-asset investments, and Special Purpose Vehicle governance, fees, and reporting are key diligence items for participants.
