The Funds Flow Memo is a closing document that details the sources and uses of funds in a transaction, including purchase price payments, debt payoffs, fees, escrow amounts, and distributions to stakeholders. In M&A closings, the Funds Flow Memo is used to coordinate wiring instructions and ensure that every dollar is accounted for in the Funds Flow Memo.
