An Issuer is the company or entity that offers or sells securities, such as stock, options, notes, or tokens, to investors or employees. In securities law compliance, the Issuer is responsible for meeting offering exemption requirements, providing appropriate disclosures, and maintaining proper records, and the Issuer’s jurisdiction and structure can affect regulatory obligations.
