A Merger is a legal combination of two entities into one structure under applicable corporate law, where one entity survives or a new entity is formed, and assets and liabilities transfer by operation of law. In M&A, a Merger is a common deal structure used for acquisitions and reorganizations, and a Merger can be structured as forward, reverse, or triangular depending on tax, liability, and consent considerations.
