Operating Agreement

An Operating Agreement is the core governing contract of a limited liability company (LLC) that sets forth the LLC’s ownership (members and their interests), management structure, voting and consent rights, distributions, transfer restrictions, and other governance and economic terms. In private equity, venture, and M&A, the Operating Agreement functions similarly to a corporation’s charter/bylaws and is a primary diligence document for control rights, profit allocation, and change-of-control provisions.
