Ordinary Income Tax

Ordinary Income Tax is the tax applied to ordinary income (such as wages, interest, and many forms of compensation) at standard income tax rates, as distinct from preferential long-term capital gains rates. In equity compensation and deal structuring, Ordinary Income Tax is relevant because option exercises, NSOs, and certain bonus/transaction payments can generate Ordinary Income Tax rather than capital gains.
