Participation Rights are investors’ contractual rights to participate in future financings, typically to maintain their ownership percentage by purchasing their pro rata share of newly issued securities. In VC documents, Participation Rights help investors avoid dilution and signal ongoing support, and Participation Rights are often limited by minimum ownership thresholds, excluded issuances, or allocation constraints in oversubscribed rounds.
