Regulation A

Regulation A is a U.S. securities offering exemption sometimes called a “mini-IPO” that allows eligible issuers to raise capital from the public with lighter ongoing reporting than a full public registration, subject to offering limits and qualification by the SEC. For growth-stage companies, Regulation A can expand the investor base beyond accredited investors, and Regulation A offerings still require offering circular disclosures and compliance planning.
