Representations and Warranties

Representations and Warranties are statements of fact made by parties in a contract (especially in M&A and financings) about the business, authority, financials, compliance, and other matters, which allocate risk and serve as a basis for remedies if untrue. In deal documents, Representations and Warranties drive diligence focus and indemnification exposure, and Representations and Warranties are often qualified by materiality, knowledge, and disclosure schedules.
