Shell Corporation

A Shell Corporation is a company with little or no active business operations and minimal assets, often formed to hold assets, facilitate a transaction, or serve as a vehicle for a merger or restructuring. In public markets, Shell Corporation status can raise regulatory scrutiny and disclosure requirements (e.g., reverse mergers), and in deal structuring, a Shell Corporation is sometimes used for organizational separation or acquisition mechanics.
