Voting Rights

Voting Rights are the rights of shareholders (or classes of shareholders) to vote on corporate matters such as electing directors, approving mergers, and amending governing documents, with scope determined by law and the charter. In venture structures, Voting Rights can vary by class (common vs. preferred) and may include protective class votes, and Voting Rights allocation is a key part of control and governance negotiation.
