Conditions Precedent

Conditions precedent are specific requirements that must be satisfied (or waived) before a contract obligation becomes enforceable—most commonly, before a deal is required to close.
In M&A/venture agreements, examples often include: required regulatory approvals, delivery of closing documents, accuracy of key representations and warranties, and no material adverse effect (if applicable).
