Limited Partners (LPs) are the investors in a limited partnership fund who contribute capital and share in profits but generally do not manage the fund’s day-to-day activities and have limited liability. In venture capital, Limited Partners include institutions and individuals, and Limited Partners’ rights and obligations are set by the limited partnership agreement and side letters.
