Pre-Money Shares

Pre-Money Shares are the shares considered outstanding on a fully diluted basis immediately before a new financing closes, used to calculate price per share and ownership outcomes. In term sheet math, Pre-Money Shares typically include existing common, preferred on an as-converted basis, and the option pool (depending on the negotiated definition), and Pre-Money Shares definitions can shift dilution between founders and new investors.
