Pro Forma

Pro Forma refers to financial statements or metrics presented “as if” a specific event had occurred (such as a merger, financing, or divestiture), used to show an adjusted view of performance or capitalization. In diligence and deal modeling, Pro Forma analysis helps stakeholders understand run-rate results, leverage, and synergies, and Pro Forma adjustments must be clearly defined and consistently applied.
