A capitalization table (or cap table) is a record that shows a company’s ownership structure—who owns what percentage of the company—and how that ownership is split across different securities.
It typically lists:
- shareholders (founders, employees, investors)
- types of equity (common stock, preferred stock)
- options/warrants and the option pool
- convertible instruments (e.g., SAFEs/convertible notes), sometimes on an “as-converted” basis
