Deal Certainty

Deal certainty is the degree of confidence that a proposed transaction (fundraising, acquisition, merger, or buyout) will actually close on the agreed terms and timeline, with minimal risk of delay, renegotiation, or failure.

In startup/VC and M&A, deal certainty is typically driven by things like:

Ability to close (clear authority, clean docs, credible buyer/sponsor)

Financing certainty (committed funds; no financing contingency)

Limited closing conditions (fewer “outs,” narrower MAE/MAC)

Regulatory/approval risk (antitrust, CFIUS, board/stockholder consents)
