Demand registration rights are contractual rights (typically granted to investors or other holders of registrable securities) that allow the holder(s), subject to negotiated conditions such as minimum ownership thresholds, timing restrictions, and limits on frequency, to require a company to file and pursue a registration statement with the SEC (or other applicable regulator) so the holder(s) can sell their securities in a registered public offering, with the process often subject to customary company deferral rights and underwriter cutbacks.
