Directors and officers insurance is an insurance policy (or program of policies) that provides coverage for certain losses, defense costs, and liabilities arising from claims made against a company’s directors and officers (and often the company itself) in connection with alleged wrongful acts in their corporate or managerial capacities, subject to the policy’s terms, conditions, exclusions, limits, and retention.
