Duty of Care

The Duty of Care is a fiduciary duty requiring directors and officers to make informed decisions and exercise appropriate oversight with the care a reasonably prudent person would use in similar circumstances. Duty of Care is central in board process (materials, minutes, expert input), and Duty of Care failures can create liability exposure in financings and exits.
