Independent Contractor

An Independent Contractor is a worker engaged to perform services under a contract who is not treated as an employee for payroll tax, benefits, and many employment-law purposes (subject to jurisdiction-specific tests). In startup operations and diligence, Independent Contractor classification is scrutinized because misclassification risk can create back taxes, penalties, IP ownership gaps, and the need to re-paper Independent Contractor agreements.
