Limited Partnership

A Limited Partnership (LP) is a partnership structure with at least one general partner who manages the entity and one or more limited partners who provide capital with limited liability and limited management rights. In fund formation, the Limited Partnership is the most common legal form for VC and PE funds, and the Limited Partnership agreement (LPA) governs economics, governance, and investor protections.
