Limited Partnership

A Limited Partnership (LP) is a legal entity composed of a general partner and various limited partners. The general partner manages the entity and is liable for the actions of the partnership while the limited partners are generally protected from legal actions and any losses beyond their original investment. VCs are usually set up as LPs with the investors in the funds as limited partners and the managers of the fund as general partners.
