Management Carveout Plan

A Management Carveout Plan is typically implemented at a startup when the employees (including founders) equity is not likely to receive a return or otherwise provide enough incentive to get a startup to an exit. A management carveout plan is essentially a contract that provides certain startup personnel with typically a cash bonus, usually based on the total acquisition price of the startup. This is usually paid out before equity holders receive proceeds.
