Parachute Payment

A parachute payment (or aka “golden parachute payment”) is a payment or benefit made by a startup to certain executives, directors or others (called “disqualified individuals” by the IRS) when there is a change in control of that startup. Internal Revenue Code Section 280G limits the amounts of parachute payments that can be made, or else an excise tax is imposed.
