Private Offering

A Private Offering is a sale of securities that is not registered with the SEC and instead relies on an exemption from registration (such as Regulation D), typically limited to accredited investors and subject to resale restrictions. In fundraising, a Private Offering requires careful attention to solicitation, disclosures, and investor qualification, and Private Offering compliance failures can create rescission risk and future financing complications.
