Restricted Stock Purchase Agreement

A Restricted Stock Purchase Agreement (RSPA) is an agreement between a company and a co-founder by which restricted stock is issued. Generally, the RSPA states the material terms and gives certain rights to each party. An example being the reverse vesting provision (i.e., repurchase option), which is usually the most important part of an RSPA for a startup.
