Shareholders Agreement

A Shareholders Agreement is a contract among a company and some or all of its shareholders that governs rights and obligations such as transfer restrictions, voting arrangements, information rights, dispute resolution, and exit-related provisions. In private companies, a Shareholders Agreement complements the charter and bylaws, and Shareholders Agreement terms often cover ROFR/ROFO, tag-along, drag-along, and governance mechanics.
