Staggered Board

A Staggered Board is set up so that only a fraction, usually 1/3, of the directors or board seats is up for a vote each year. In other words, the term of the directors are staggered. A Staggered Board makes it difficult for a hostile takeover to succeed because it will take years to gain full control of the Board.
