Tag Along Rights

Tag Along Rights (co-sale rights) give certain shareholders the right to participate in a sale of shares by another shareholder (often a founder), allowing them to sell a proportional amount of their shares on the same terms. In private company secondaries, Tag Along Rights protect minority holders from being left behind in liquidity events, and Tag Along Rights are commonly included in ROFR/co-sale agreements.
